CME Group ( (CME) ) has issued an announcement.
At its 2026 Annual Meeting of Shareholders, reconvened on June 9 following an adjournment on May 14 due to lack of quorum among certain Class B shareholders, CME Group secured overall quorum for most share classes but again fell short for Class B-3, preventing votes on eliminating that class’s director election right and on one director election. Proposals to eliminate the special director election rights of Class B-1 and Class B-2 shareholders failed despite majority support from the broader Class A and B base, and although an amendment to the certificate of incorporation passed at the combined class level, it will not be filed because it was contingent on those governance changes, leaving all Class B-1 and Class B-2 directors re-elected through 2027 and the Class B-3 director serving as a holdover until a successor can be elected at the 2027 meeting.
